Acceptance of Terms
By accessing or using the website located at craftpulse.org (the “Website”), you agree to be bound by these Terms of Service (“Terms”) and all applicable laws and regulations. These Terms constitute a legally binding agreement between you and CraftPulse LLC (“CraftPulse”, “we”, “us”, “our”), a limited liability company organized under the laws of the State of New Mexico, United States.
If you do not agree to these Terms, you must not access or use the Website. Your continued use of the Website following any updates to these Terms constitutes acceptance of those changes. We recommend that you review these Terms periodically.
No Client Relationship
This Website is informational only. Accessing or using the Website does not create a client, contractor, or agency relationship between you and CraftPulse LLC. No such relationship is formed until both parties have executed a written Statement of Work (“SOW”) or Master Services Agreement (“MSA”). Any information submitted through the contact form constitutes an initial inquiry only and does not obligate CraftPulse to provide any services or enter into any agreement.
Services
CraftPulse LLC provides software development, web design, and technical consulting services to businesses and organisations. The Website is intended to provide information about CraftPulse and to allow prospective clients to make contact.
These Terms govern your use of the Website only. The terms and conditions governing any specific client engagement — including deliverables, timelines, fees, intellectual property ownership, refund terms, and confidentiality — are set out in individual written service agreements entered into between CraftPulse and the relevant client. In the event of any conflict between these Terms and a service agreement, the service agreement shall prevail.
CraftPulse reserves the right to modify, suspend, or discontinue the Website or any part of it at any time without notice or liability. We also reserve the right to decline any project inquiry at our sole discretion.
Website Use
You agree to use the Website only for lawful purposes and in a manner consistent with these Terms and all applicable local, state, national, and international laws and regulations. Without limiting the foregoing, you agree that you will not:
- Use the Website for any unlawful, fraudulent, or harmful purpose, or in connection with any criminal offence or unlawful activity.
- Attempt to gain unauthorised access to any part of the Website, its servers, databases, or other systems connected to the Website.
- Introduce any virus, trojan horse, worm, logic bomb, or other material that is malicious or technologically harmful.
- Scrape, crawl, copy, frame, mirror, or republish any content from the Website without the express prior written permission of CraftPulse LLC.
- Use automated scripts, bots, or similar tools to access, query, or interact with the Website in a manner that places an unreasonable burden on our infrastructure.
- Impersonate any person or entity, or misrepresent your affiliation with any person or entity, in connection with your use of the Website.
- Submit false, misleading, or deceptive information through any form or contact mechanism on the Website.
We reserve the right to restrict or terminate access to the Website for any user who violates these Terms or whose conduct we deem harmful to CraftPulse, other users, or third parties.
Intellectual Property
All content published on the Website — including but not limited to text, graphics, logos, icons, images, audio and video clips, digital downloads, and the overall design and compilation of the Website — is the property of CraftPulse LLC and is protected by copyright, trademark, and other applicable intellectual property laws of the United States.
“CraftPulse” and “CraftPulse LLC” are the trading name and legal name of this business. You may not use our name, logo, or trademarks without our prior written consent.
You are granted a limited, non-exclusive, non-transferable licence to access and view the Website and its content for your own personal, non-commercial use. Nothing on the Website grants you any other right or licence in respect of our intellectual property.
Work created by CraftPulse for clients is governed exclusively by the intellectual property provisions of the relevant service agreement. Unless otherwise agreed in writing, ownership of bespoke work product created for a client transfers to that client upon receipt of full payment of all agreed fees.
Disclaimers
THE WEBSITE AND ALL CONTENT, MATERIALS, AND INFORMATION ON IT ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS, WITHOUT ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY.
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CRAFTPULSE LLC DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:
- Implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
- Warranties that the Website will be available uninterrupted, timely, secure, or free from errors, bugs, or viruses.
- Warranties that defects will be corrected or that the Website or the servers that make it available are free of harmful components.
- Warranties as to the accuracy, completeness, or currency of any information on the Website.
Case studies, project descriptions, and client outcomes displayed on this Website are provided for illustrative purposes only and do not guarantee or imply that identical results will be achieved for other clients.
Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CRAFTPULSE LLC, ITS OFFICERS, MEMBERS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO:
- Loss of profits, revenue, or business.
- Loss of data or inability to access data.
- Business interruption.
- Cost of substitute goods or services.
- Any damages arising from your access to, use of, or inability to use the Website.
This exclusion applies regardless of whether such damages were foreseeable and regardless of the theory of liability (contract, tort, statute, or otherwise), even if CraftPulse LLC has been advised of the possibility of such damages.
WHERE LIABILITY CANNOT BE FULLY EXCLUDED, CRAFTPULSE LLC’S AGGREGATE LIABILITY TO YOU SHALL NOT EXCEED THE GREATER OF: (a) THE TOTAL FEES PAID BY YOU TO CRAFTPULSE LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (b) FIVE HUNDRED US DOLLARS ($500 USD).
Nothing in these Terms limits or excludes liability for death or personal injury caused by negligence, fraud, fraudulent misrepresentation, or any other liability that cannot be excluded by applicable law.
Indemnification
You agree to defend, indemnify, and hold harmless CraftPulse LLC and its officers, members, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or relating to your violation of these Terms or your use of the Website, including, but not limited to, any use of the Website’s content other than as expressly authorised in these Terms, or your use of any information obtained from the Website.
Dispute Resolution
In the event of any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Website, the parties agree to first attempt to resolve the dispute informally by contacting us at info@craftpulse.org. We will attempt to respond and resolve the issue within 30 days.
If informal resolution is not achieved, any dispute shall be resolved by binding arbitration administered by the American Arbitration Association (“AAA”) under its Commercial Arbitration Rules. The arbitration shall be conducted in Albuquerque, New Mexico, or remotely if both parties agree. Judgment on the arbitration award may be entered in any court of competent jurisdiction.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in any court of competent jurisdiction to prevent immediate and irreparable harm. Nothing in this section limits either party’s right to file a complaint with applicable regulatory authorities.
Governing Law
These Terms of Service and any dispute or claim arising out of or in connection with them shall be governed by and construed in accordance with the laws of the State of New Mexico, United States, without regard to its conflict of law provisions.
To the extent that arbitration does not apply, you irrevocably agree that the state and federal courts located in Bernalillo County, New Mexico shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms.
If any provision of these Terms is found by a court of competent jurisdiction to be invalid, unlawful, or unenforceable, that provision shall be deemed severed from the remaining Terms, which shall continue in full force and effect.
